Terms of Service

These Terms govern access to CarrierOps, a business-management software and recordkeeping tool for owner-operators, hotshot carriers, box-truck operators, and small trucking fleets. CarrierOps is provided by [LEGAL BUSINESS NAME REQUIRED].
Eligibility and Accounts
CarrierOps is for business use by adults who can form a binding agreement. Proposed minimum age: 18 years old [ATTORNEY REVIEW REQUIRED]. You must provide accurate account information, keep credentials secure, and promptly notify us about unauthorized access.
Company Accounts and Authorized Users
A company owner or administrator may create or manage a company workspace and authorize users such as owners, admins, dispatchers, drivers, billing users, or other future roles. Administrators are responsible for assigning appropriate roles and for the actions of users they invite or authorize.
Your Records and Responsibilities
You are responsible for the accuracy, legality, and completeness of information entered into CarrierOps, including company information, driver and employee details, vehicle and trailer records, loads, invoices, inspection records, maintenance records, fuel purchases, uploaded documents, photographs, proof-of-delivery records, and customer, broker, shipper, or consignee information.
CarrierOps is not a law firm, accountant, tax advisor, insurance provider, safety consultant, dispatch service, broker, carrier authority service, or government agency. CarrierOps does not guarantee DOT, FMCSA, tax, safety, insurance, employment, maintenance, inspection, hours-of-service, or other legal or regulatory compliance. Reminders, alerts, calculations, generated documents, invoice packets, mileage estimates, profitability figures, and stored records are aids only and may be incomplete, delayed, inaccurate, or unavailable.
Subscriptions, Trials, Billing, Cancellation, and Refunds
The current application contains internal subscription/module entitlement records and may grant trial access. The repository does not show an implemented payment processor, checkout flow, billing portal, recurring payment flow, cancellation automation, tax calculation, or refund workflow. Do not rely on any paid subscription term until CarrierOps publishes checkout disclosures and a final Subscription, Cancellation, and Refund Policy.
Referrals, Affiliate Codes, and Promotional Credits
CarrierOps may offer referral, affiliate, influencer, or campaign codes. Unless written terms say otherwise, referral attribution is limited to one primary referrer per signup or company, is subject to an attribution window, and does not create a reward merely because someone creates a free account. Rewards, credits, commissions, or other benefits are expected to depend on a qualifying paid billing event once paid billing is implemented.
CarrierOps may reject, cancel, reverse, or manually adjust referral attribution or rewards for self-referrals, duplicate company signups, refunds, chargebacks, fraud, abuse, mistaken attribution, inactive or expired codes, or violations of referral terms. Cash payouts should not be offered until tax, accounting, identity verification, and payment-processing requirements are reviewed.
Acceptable Use
You may not use CarrierOps for unlawful activity, credential sharing, unauthorized access, malware, harassment, infringement, fraud, misleading records, attempts to disrupt the service, or uploading content you do not have the right to provide. Additional rules appear in the Acceptable Use Policy.
Customer Content and Data Ownership
As between you and CarrierOps, you retain ownership of business records, uploaded documents, photographs, invoice data, inspection information, maintenance records, signatures, proof-of-delivery materials, and other content you submit. You grant CarrierOps a limited license to host, process, back up, transmit, display, and otherwise use that content solely to provide, secure, maintain, improve, and support the service.
If you enter information about drivers, employees, contractors, customers, brokers, shippers, consignees, or other third parties, you represent that you have lawful authority and any necessary consent to do so.
Service Changes and Availability
CarrierOps may change, suspend, or discontinue features. We aim to provide a reliable service, but we do not guarantee uninterrupted availability, error-free operation, or permanent storage without backup failures.
Suspension and Termination
We may suspend or terminate access for violations of these Terms, security risk, nonpayment when billing is implemented, suspected fraud, abuse, or legal necessity. You may stop using CarrierOps at any time.
Disclaimers
CarrierOps is provided “as is” and “as available.” To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any guarantee that CarrierOps will satisfy your legal, regulatory, contractual, tax, insurance, safety, or operational duties.
Limitation of Liability
To the extent permitted by law, CarrierOps and its owners, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, regulatory penalties, or compliance failures arising from your use of the service. For direct damages, our aggregate liability will not exceed the amounts you paid to CarrierOps for the service in the three months before the event giving rise to the claim, or $100 if no paid subscription exists. This section should be reviewed by counsel for enforceability.
Indemnification
You agree to defend and indemnify CarrierOps from claims arising from your content, your company’s operations, your violation of these Terms, your misuse of the service, or your violation of law or third-party rights.
Governing Law and Disputes
Proposed default: Utah law governs these Terms, without regard to conflict-of-law rules [ATTORNEY REVIEW REQUIRED]. Whether to include arbitration, a class-action waiver, venue language, or small-claims procedures remains a business and legal decision requiring attorney review.
Force Majeure
CarrierOps is not responsible for delay or failure caused by events beyond reasonable control, including internet outages, hosting failures, cloud-provider incidents, labor disruptions, natural disasters, war, government action, or security incidents affecting third-party providers.
Changes
We may update these Terms. Material updates should use a deliberate versioned notice or re-consent process.
